These Terms and Conditions apply to all quotations, orders, manufacturing, supply, delivery, and erection of steel structures by LM Staal Strukture (Pty) Ltd.

By accepting a quotation, paying a deposit, signing an agreement, approving drawings, or instructing LM Staal Strukture (Pty) Ltd to proceed with any work, the client agrees to be bound by these Terms and Conditions.

2. General Terms

LM Staal Strukture (Pty) Ltd manufactures, supplies, delivers, and erects steel structures, including but not limited to warehouses, sheds, carports, agricultural structures, industrial structures, commercial structures, and custom steel buildings.

These Terms and Conditions apply to all services, products, materials, quotations, invoices, designs, drawings, manufacturing, delivery, and installation work supplied by LM Staal Strukture (Pty) Ltd.

No changes to these Terms and Conditions will be valid unless agreed to in writing by LM Staal Strukture (Pty) Ltd.


3. Quotations and Pricing

All quotations are based on the information supplied by the client at the time of quoting, including measurements, site details, structure size, design requirements, material specifications, access conditions, and any other relevant project information.

A quotation is not a final contract until:

The client accepts the quotation in writing

The required deposit is paid

LM Staal Strukture (Pty) Ltd confirms acceptance of the project

Prices may change if:

The client changes the design, size, layout, or specifications

Measurements or site information supplied by the client are incorrect

Additional work is required

Site conditions are different from what was disclosed

Supplier costs increase

Steel prices increase

Transport, labour, or material costs change

Any approval, engineer requirement, or council requirement affects the work

LM Staal Strukture (Pty) Ltd reserves the right to revise a quotation before acceptance if costs or project requirements change.


4. Quote Validity Period

Unless otherwise stated on the quotation, all quotations are valid for 14 days from the date of issue.

After the validity period expires, LM Staal Strukture (Pty) Ltd may revise the quotation due to changes in steel prices, supplier costs, material availability, labour costs, transport costs, or any other project-related expense.


5. Steel Price Increases and Material Cost Changes

Steel and building material prices can change without notice due to supplier pricing, market conditions, availability, transport costs, exchange rates, or other external factors.

If steel, sheeting, fasteners, paint, coatings, transport, or related materials increase in price before the client accepts the quotation and pays the required deposit, LM Staal Strukture (Pty) Ltd may update the quotation.

If a supplier increase occurs after acceptance but before materials are ordered, LM Staal Strukture (Pty) Ltd may notify the client and adjust the price where necessary.


6. Deposits and Payment Terms

No deposit is required by the Company.

All material costs shall be paid directly by the Client to the supplier, NJR Steel Brits, or any other approved supplier as agreed.

Once the manufacturing of the steel structure has been completed and transport has been arranged or completed, the manufacturing and transport costs shall become payable by the Client before the erection of the structure may commence.

After delivery and installation of the structure, the erection costs shall become due and payable by the Client.

The Company reserves the right to delay or suspend erection, installation, or further work until all amounts due at each stage have been paid in full.


7. Late Payments

If the client fails to pay on time, LM Staal Strukture (Pty) Ltd may:

Suspend work

Delay delivery or installation

Withhold materials

Withhold handover

Charge additional costs caused by the delay

Charge interest on overdue amounts where legally allowed

Recover legal or collection costs where applicable

LM Staal Strukture (Pty) Ltd will not be responsible for project delays caused by late or missed payments.


8. Ownership of Materials

All steel, materials, manufactured components, accessories, and completed work remain the property of LM Staal Strukture (Pty) Ltd until full payment has been received.

The client may not sell, remove, damage, alter, use, or claim ownership of any unpaid materials or structures.

If payment is not made, LM Staal Strukture (Pty) Ltd reserves its rights to recover unpaid materials or pursue payment through the correct legal process.


9. Design Approvals, Drawings and Specifications

The client is responsible for checking and approving all designs, drawings, measurements, specifications, colours, finishes, sheeting, structure sizes, openings, heights, and layouts before manufacturing or installation begins.

Once the client approves a quotation, design, drawing, or specification, LM Staal Strukture (Pty) Ltd will rely on that approval.

Any changes requested after approval may result in:

Additional costs

Material changes

Manufacturing delays

Installation delays

Revised drawings or specifications

LM Staal Strukture (Pty) Ltd will not be responsible for errors caused by incorrect information supplied or approved by the client.


10. Engineer Drawings and Council Approvals

Engineer drawings, municipal submissions, council approvals, town planning approvals, building permits, occupation certificates, or any statutory approvals are not included unless clearly stated in writing on the quotation.

The client is responsible for confirming whether engineer drawings, municipal approvals, building plans, or permits are required for the project.

Where LM Staal Strukture (Pty) Ltd assists with engineer drawings, designs, approvals, or related documentation, these services may be quoted and charged separately.

LM Staal Strukture (Pty) Ltd is not responsible for delays caused by engineers, municipalities, councils, approval departments, or third-party professionals.


11. Client Responsibility for Site Readiness

The client must ensure that the site is ready before LM Staal Strukture (Pty) Ltd arrives to start work.

The client is responsible for:

Correct site measurements

Correct boundary lines

Clear site access

A level and prepared area

Completed foundations or slabs, where applicable

Removing rubble, trees, vehicles, equipment, or obstacles

Providing safe working space

Ensuring the site is suitable for the agreed structure

Disclosing underground pipes, cables, septic tanks, water lines, electrical lines, or other hidden services

If the site is not ready, unsafe, inaccessible, or different from the information supplied, LM Staal Strukture (Pty) Ltd may charge additional costs and delay the project.


12. Site Access, Safety and Preparation

The client must provide safe and reasonable access for vehicles, workers, tools, cranes, trailers, delivery vehicles, and installation equipment.

The client must keep children, animals, unauthorised persons, vehicles, and other contractors away from the work area during installation.

LM Staal Strukture (Pty) Ltd may stop or delay work if the site is unsafe, inaccessible, or not properly prepared.

Any costs caused by unsafe or unprepared site conditions will be for the client’s account.


13. Manufacturing and Installation Timelines

Any manufacturing, delivery, or installation timelines given by LM Staal Strukture (Pty) Ltd are estimates only, unless a fixed completion date is confirmed in writing.

LM Staal Strukture (Pty) Ltd will make reasonable efforts to complete work within the estimated timeframe, but does not guarantee completion by a specific date unless agreed in writing.

Timelines may be affected by supplier availability, material lead times, payment delays, weather, site readiness, transport, labour availability, or client changes.


14. Delays Outside the Company’s Control

LM Staal Strukture (Pty) Ltd will not be liable for delays caused by events outside its reasonable control, including:

Bad weather

Heavy rain, storms, wind, lightning, or unsafe working conditions

Supplier delays

Steel shortages

Sheeting or material shortages

Load shedding

Transport delays

Labour interruptions

Late payments

Client changes

Site access problems

Unsafe site conditions

Engineer delays

Municipal or council delays

Public holidays or shutdown periods

Theft, fire, unrest, or natural disasters

The client may not claim penalties, losses, damages, or refunds for delays caused by circumstances outside the reasonable control of LM Staal Strukture (Pty) Ltd.


15. Materials, Colours, Finishes and Availability

Materials, steel sizes, sheeting, fasteners, paint, coatings, colours, and finishes will be supplied according to the accepted quotation.

Material availability may change due to supplier stock, manufacturing delays, transport issues, or market conditions.

If a specific material, colour, finish, or product is unavailable, LM Staal Strukture (Pty) Ltd may recommend a suitable alternative. The client must approve any major substitution before it is used.

Minor colour differences, batch variations, finish differences, or natural material variations will not be considered defects.


16. Client Changes After Approval

Any changes requested by the client after approval of the quotation, design, drawing, or specifications must be confirmed in writing.

Changes may affect:

Price

Material quantities

Manufacturing time

Delivery dates

Installation dates

Structural requirements

Engineer requirements

LM Staal Strukture (Pty) Ltd is not required to proceed with any change until the revised price and scope of work have been accepted by the client.


17. Additional Work and Extra Costs

Any work not included in the accepted quotation will be charged separately.

Additional work may include, but is not limited to:

Changes to size, height, layout, or structure design

Extra steelwork

Extra sheeting

Additional doors, openings, brackets, gutters, or accessories

Site delays

Waiting time

Rework caused by incorrect client information

Removal of obstacles

Extra transport

Additional labour

Engineer or approval-related changes

Verbal instructions will not be accepted as final unless confirmed in writing by LM Staal Strukture (Pty) Ltd.


18. Delivery, Storage and Risk of Materials on Site

Once materials are delivered to the client’s site, risk of theft, loss, weather damage, fire, vandalism, or third-party damage passes to the client, unless LM Staal Strukture (Pty) Ltd remains in direct control of the materials.

If installation is delayed due to the client, site conditions, late payment, or access problems, the client is responsible for safe storage and protection of the delivered materials.

LM Staal Strukture (Pty) Ltd will not be responsible for damage or loss caused by third parties, animals, weather, theft, or unsafe storage conditions after delivery.


19. Workmanship Warranty and Lifetime Workmanship Promise

LM Staal Strukture (Pty) Ltd takes pride in its workmanship and strives for excellence in every project.

The company provides a workmanship warranty on defects proven to be directly caused by poor workmanship by LM Staal Strukture (Pty) Ltd.

Where LM Staal Strukture (Pty) Ltd refers to a lifetime workmanship promise, this promise applies only to workmanship performed by LM Staal Strukture (Pty) Ltd and does not apply to materials, natural wear and tear, corrosion, storm damage, misuse, poor maintenance, third-party alterations, or causes outside the company’s control.

This warranty is a workmanship warranty only. It is not an unlimited structural, material, weather, corrosion, or maintenance warranty.


20. What the Warranty Covers

The workmanship warranty covers defects that are proven, after inspection, to be directly caused by faulty workmanship by LM Staal Strukture (Pty) Ltd.

This may include:

Incorrect installation by LM Staal Strukture (Pty) Ltd

Faulty workmanship during erection

Work not completed according to the accepted quotation or agreed specifications

Defects directly linked to the company’s labour or installation process

If a valid workmanship defect is found, LM Staal Strukture (Pty) Ltd will, at its discretion, repair the defect within a reasonable time.


21. What the Warranty Does Not Cover

The warranty does not cover damage, defects, failure, or deterioration caused by:

Rust

Corrosion

Lack of maintenance

Coastal conditions

Chemical exposure

Harsh environmental conditions

Storm damage

Wind damage

Hail damage

Lightning

Fire

Flooding

Natural disasters

Misuse or abuse

Overloading of the structure

Neglect

Poor maintenance

Foundation movement

Slab failure

Ground movement

Soil movement

Third-party alterations

Third-party repairs

Work done by other contractors

Impact damage from vehicles, machinery, animals, or equipment

Normal wear and tear

Paint fading

Colour changes over time

Scratches or damage after handover

Incorrect client instructions

Incorrect measurements or information supplied by the client

Failure to follow maintenance requirements

Any cause outside the reasonable control of LM Staal Strukture (Pty) Ltd

Manufacturer warranties on materials, sheeting, coatings, paint, fixings, or accessories are subject to the relevant manufacturer’s own warranty terms.


22. Defects, Inspections and Repairs

Any defect, complaint, or concern must be reported to LM Staal Strukture (Pty) Ltd in writing as soon as reasonably possible.

The client must give LM Staal Strukture (Pty) Ltd a reasonable opportunity to inspect the issue before any repair, alteration, or third-party work is carried out.

If the client allows another contractor or person to repair, alter, remove, modify, or interfere with the work without written approval from LM Staal Strukture (Pty) Ltd, the warranty may become void.

If the issue is found not to be caused by LM Staal Strukture (Pty) Ltd’s workmanship, the client may be charged for inspection, travel, labour, materials, or call-out costs.


23. Client Maintenance Responsibilities

The client is responsible for maintaining the steel structure after completion and handover.

Maintenance may include:

Regular inspection of steelwork

Checking bolts, brackets, fasteners, sheeting, gutters, and fixings

Cleaning gutters and drainage areas

Removing debris, leaves, and dirt

Treating scratches, chips, or rust early

Preventing chemical exposure

Avoiding overloading the structure

Avoiding unauthorised alterations

Checking for storm or impact damage

Arranging professional inspections where necessary

Failure to maintain the structure properly may void the workmanship warranty.


24. Cancellations and Refunds

If the client cancels the project after accepting the quotation or paying the deposit, LM Staal Strukture (Pty) Ltd may deduct all costs already incurred.

These costs may include:

Materials ordered

Steel already cut or manufactured

Custom-made components

Labour already performed

Transport costs

Design or drawing costs

Engineer-related costs

Administration costs

Supplier cancellation fees

Any other project-related expenses

Deposits may be non-refundable where materials have already been ordered, manufactured, prepared, cut, delivered, or allocated to the project.

Refunds, where applicable, will only be considered after deduction of all reasonable costs already incurred by LM Staal Strukture (Pty) Ltd.


25. Limitation of Liability

LM Staal Strukture (Pty) Ltd will only be liable for direct work performed by the company and only to the extent allowed by South African law.

The company will not be liable for:

Indirect losses

Loss of profit

Loss of income

Business interruption

Consequential damages

Penalties claimed by third parties

Delays outside its control

Defects caused by third parties

Defects caused by foundations, slabs, soil, or ground movement

Existing structural defects

Incorrect information supplied by the client

Client-approved errors

Damage caused after delivery or handover

Damage caused by poor maintenance or misuse

Nothing in these Terms and Conditions is intended to remove any rights the client may have under applicable South African law.


26. Force Majeure

LM Staal Strukture (Pty) Ltd will not be responsible for failure to perform, delay, damage, or additional costs caused by events outside its reasonable control.

These events include, but are not limited to:

Severe weather

Natural disasters

Load shedding

Supplier shortages

Transport disruptions

Strikes

Government restrictions

Fire

Theft

Civil unrest

Pandemics

Accidents

Any event beyond reasonable control


27. Disputes and Governing Law

If a dispute arises, both parties must first try to resolve the matter in writing and in good faith.

If the dispute cannot be resolved, the parties may refer the matter to mediation, arbitration, or the appropriate South African court.

These Terms and Conditions are governed by the laws of the Republic of South Africa.


28. South African Legal Compliance

LM Staal Strukture (Pty) Ltd will conduct its business in line with applicable South African laws and regulations.

The client remains responsible for ensuring that the intended use of the structure, site, land, zoning, permissions, and approvals comply with applicable laws, municipal requirements, and building regulations, unless otherwise agreed in writing.

Nothing in these Terms and Conditions is intended to unlawfully limit, exclude, or remove any rights or protections that may apply under South African law.


29. Final Acceptance of Terms and Conditions

By accepting a quotation, paying a deposit, approving drawings, allowing work to start, accepting delivery, or using the services of LM Staal Strukture (Pty) Ltd, the client confirms that they have read, understood, and accepted these Terms and Conditions.

The client further confirms that all information supplied to LM Staal Strukture (Pty) Ltd is accurate, complete, and suitable for the project.
